Terms of Service

Drop is currently in a beta testing phase — a closed pilot in the Bay Area and Chicago — while we complete the registrations and permits applicable to our operations. The Service is limited, evolving, and may change or pause at any time.

Beta testing phase & regulatory status

Drop is operating a limited beta testing phase. During this phase, features, coverage, pricing, and availability may change, and the Service may be paused or restricted at any time without notice.

Drop is in the process of obtaining the licenses, registrations, and permits applicable to its operations, including a Transportation Network Company (TNC) permit from the California Public Utilities Commission (CPUC). These approvals are in progress and not yet finalized. By participating in the beta, you acknowledge that the Service is being offered on a limited, test basis while this process is ongoing.

Welcome to Drop. These Terms of Service ("Terms") govern your access to and use of the Drop mobile app, website, and related services (together, the "Service") operated by Drop Technologies, Inc. ("Drop," "we," "us"). By creating an account, joining our waitlist, or using the Service, you agree to these Terms.

1. What Drop is

Drop is a technology platform and two-sided marketplace that connects riders who name a fare with independent drivers who choose to accept, negotiate, or decline that fare. Drop is not a transportation carrier and does not provide transportation services. Rides are provided by independent third-party drivers who are not employees or agents of Drop.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. Drivers must additionally meet all applicable legal requirements to operate a vehicle for hire in their area (see Section 6).

You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.

5. Acceptable use

You agree not to misuse the Service, including by: harassing or endangering others; using the Service for any unlawful purpose; attempting to circumvent pricing, safety, or verification features; scraping or reverse-engineering the Service; or impersonating another person.

6. Drivers, licensing & insurance

Drop does not provide vehicles or insurance. Drivers are independent contractors responsible for maintaining, at their own cost and as required by applicable law: a valid driver's license, current vehicle registration, and their own personal automobile insurance. Riders acknowledge that transportation is arranged with independent drivers and that Drop does not guarantee any driver, vehicle, or ride.

7. Ratings & content

You may submit ratings, reviews, and other content. You grant Drop a non-exclusive, worldwide, royalty-free license to use that content to operate and improve the Service. You are responsible for content you submit and must not post unlawful or infringing material.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or available in any particular area, especially during the beta.

9. Limitation of liability

To the maximum extent permitted by law, Drop and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any conduct of any rider or driver, arising out of or relating to your use of the Service.

10. Indemnification

You agree to indemnify and hold Drop harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms or applicable law.

11. Changes

We may update these Terms as the Service evolves. We will post the updated Terms with a new "Last updated" date, and continued use of the Service constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in California, unless otherwise required by law.
